Copeland to Acquire Dickson, Expanding Cold Chain Monitoring

ST. LOUIS — Copeland has entered exclusive negotiations to acquire Dickson, a provider of environmental monitoring and cloud-native software solutions for regulated health care and life sciences applications.

The proposed acquisition would expand Copeland’s cold chain capabilities by adding Dickson’s environmental monitoring platform, compliance expertise, and cloud-based technology.

Dickson is a portfolio company of May River Capital. Its monitoring platform serves pharmaceutical manufacturing, biotechnology, medical devices, distribution, healthcare networks and hospital systems.

The proposed transaction would build on Copeland’s existing stationary and in-transit monitoring capabilities. The companies said the combined capabilities would provide broader visibility across the health care and life sciences cold chain.

The deal also reflects growing demand for environmental monitoring and quality assurance in regulated applications. Copeland cited increasing regulatory requirements, expansion of biologics and cell and gene therapies, and demand for greater supply chain transparency as factors driving the market.

“Dickson will expand our capabilities and strengthen our ability to serve customers across every stage of the healthcare and life sciences cold chain, from pharmaceutical manufacturing through distribution and patient care,” said Ross B. Shuster, CEO of Copeland.

Rick Weiler, president and CEO of Dickson, said the transaction would allow the company to bring its platform and compliance expertise to a broader customer base while continuing to invest in its technology and services.

The proposed transaction is expected to close in the second half of calendar year 2026. Closing remains subject to finalizing definitive agreements, consultation of the French work council of Oceasoft SAS and customary regulatory approvals.

Terms of the transaction were not disclosed. Dickson will continue to operate as an independent company until the transaction closes.
